2. Scope of These Terms

These Terms govern the offer, sale and delivery of products purchased through the ShopDecor online store. Before placing an order, customers are invited to read these Terms, the Privacy Policy, and the Returns, Withdrawal, Complaints & Warranty Policy.

A “consumer” is a natural person acting for purposes unrelated to any business, commercial, craft or professional activity. A “business customer” or “professional customer” is any customer acting for purposes related to such activity, including where the customer provides business details, company name, VAT number or other invoicing information during checkout.

Where the customer acts as a consumer, nothing in these Terms limits any mandatory consumer protection rights available under applicable law. Where the customer acts for business, trade, craft or professional purposes, specific provisions for business customers may apply to the extent permitted by law.

3. Product Information

Product descriptions, images, dimensions, colors, finishes, materials, lead times and other information are provided with care. Minor differences may occur due to screen settings, manufacturing tolerances, materials, finishes, lighting, photography or supplier updates.

ShopDecor sells new design products from third-party brands and manufacturers. Products are not manufactured under the ShopDecor brand. Some products may not be physically available in ShopDecor's warehouse at the time of order and may need to be ordered from the supplier or manufacturer after the customer places the order.

Availability and estimated lead times are provided in good faith and are not guaranteed unless expressly stated as binding. Lead times may vary due to multiple factors: supplier availability, production timing, carrier transit, customs checks, holidays, peak periods or circumstances outside ShopDecor’s reasonable control. If a product becomes unavailable after order confirmation, ShopDecor will inform the customer without undue delay and offer available options, which may include waiting for availability, accepting partial fulfilment, choosing an available alternative where appropriate, or cancelling the affected item or order. Any amount paid for unavailable products will be refunded where required.

4. Orders and Contract Formation

To place an order, the customer must follow the checkout process, review the order details, select the preferred payment method between the ones available, insert payment information and confirm the order.

Before completing the order, the customer should review the products, quantities, delivery address, billing details, shipping costs, taxes, duties where shown, and total price.

Customers must provide complete, accurate and up-to-date information during checkout, creating an account may make it easier to check order information and manage customer details, anyway it is not mandatory to complete purchase.

If a customer wishes to purchase as a business and receive an invoice, the customer must select the relevant company/invoicing option before payment and provide the required business details, including VAT number where applicable.
For Italian business customers, additional electronic invoicing details may be required, such as SDI code or PEC address.
For eligible EU business customers with a valid VAT number verified through VIES, VAT may be removed from the order where the legal conditions for intra-EU B2B treatment are met. If the information provided is inaccurate, incomplete or not verifiable, ShopDecor may request further information or apply the tax treatment required by law.

After the order is placed, ShopDecor sends an order confirmation to the email address provided by the customer. If an order cannot be processed, ShopDecor will inform the customer and refund any amount already paid.

5. Prices, VAT, Duties and Import Taxes

Prices are shown in the currency and tax configuration applicable to the market selected by the customer. If a product is listed with an obvious pricing, technical or descriptive error, ShopDecor may contact the customer to offer the possibility to confirm the order under the correct conditions or cancel the order. If the order is cancelled, any amount already paid will be refunded without undue delay.

For EU consumers, prices are shown including VAT, unless the checkout clearly indicates otherwise as permitted by law. For eligible EU business customers with a valid VIES VAT number, prices may be shown or recalculated excluding VAT where the relevant conditions are met. For Italian consumers and businesses the prices are always VAT inclusive.
For consumers and businesses living in other countries the prices are usually listed VAT excluded, except for some countries where in the product page it is indicated that prices are VAT inclusive.

Shipping costs, where applicable, are shown before the order is placed. Prices may change at any time, but changes do not affect orders already confirmed, except in case of obvious pricing errors as described below.

For orders shipped outside the European Union, import duties, customs charges, taxes and local fees may apply. Where duties and import taxes are charged at checkout, the shipment should be treated as duties and taxes paid by ShopDecor for that order, subject to the terms shown at checkout. Where duties and import taxes are not charged at checkout but are due in the destination country, ShopDecor will inform the customer after receiving the order and before shipment where reasonably possible. In that case, the customer may be required to pay such charges directly to the carrier, customs authorities or other competent parties, unless otherwise agreed or required by law.

If the customer refuses delivery because of duties, taxes, import charges or other destination charges that were properly communicated to the customer, any refund, return cost, storage cost or re-shipment cost will be handled in accordance with applicable law and the circumstances of the case.

6. Payment Methods

Available payment methods may include card payments processed through the relevant payment infrastructure (Shopify Payments), Apple Pay, Google Pay, PayPal and bank transfer. Additional methods may be offered depending on the market and checkout configuration.

For bank transfer orders, payment instructions are sent to the email address provided by the customer after the order is confirmed. Orders paid by bank transfer may be processed only after payment is received or otherwise confirmed by ShopDecor.

7. Shipping and Delivery

ShopDecor ships to selected countries and territories shown or enabled at checkout. The reason why for some destinations there are no available shipping methods could be several, as n product restrictions, carrier availability, sanctions, export/import limitations, platform limitations or internal logistics decisions.
Shipping availability, costs, carriers and delivery times are shown or calculated at checkout where available. Shipping costs depend on destination, product size, product weight, number of items, packaging requirements and carrier availability.

Unless expressly agreed otherwise, standard delivery for online checkout orders is street-level or curbside delivery. Delivery to upper floors, assembly, installation, white-glove delivery, appointment-based special services or other enhanced services are not standard checkout services. Customers may contact Customer Support before placing an order to request an estimate for special delivery needs. Any additional service must be expressly confirmed by ShopDecor before it can be considered included in the order.

8. Delivery Delays

If a material delay occurs, ShopDecor will inform the customer as soon as reasonably possible and provide updated information where available.

Depending on the circumstances and customer status, the customer may be offered the possibility to accept the updated timing, discuss alternatives with Customer Support, or cancel the order where entitled to do so.

Nothing in these Terms limits mandatory consumer rights in the event of delayed delivery.

9. Passing of Risk and Ownership

The transfer of risk depends on the category of the customer. For consumers, risk transfers when the consumer or a designated third party, other than the carrier, takes physical possession of the goods, in accordance with applicable consumer protection rules. For business customers, risk passes upon delivery to the address or the carrier according to the applicable Incoterms, delivery arrangement, or mandatory law.

Ownership of the products transfers to the customer only after ShopDecor has received full payment of all amounts due, including the product price, shipping costs, and any other charges payable to ShopDecor, unless mandatory law provides otherwise.

10. Inspection at Delivery and Product Issues

Customers should inspect the external packaging at delivery. If the packaging appears damaged, wet, opened, crushed, torn, resealed or otherwise irregular, customers are strongly encouraged to accept the delivery with a written inspection reservation where the carrier allows it and to take photographs before opening the package.

If products are damaged, defective, non-conforming, missing, incomplete or incorrect, customers should contact ShopDecor as soon as reasonably possible using the Order Complaints & Support Form or the customer support channels available on the website.

Failure to make a carrier reservation may make it more difficult to investigate a transport damage matter, but it does not affect mandatory consumer rights for damaged, defective, missing, incorrect or non-conforming products.

11. Legal Guarantee of Conformity and Manufacturer Warranties

Consumers benefit from the statutory legal guarantee of conformity provided by applicable consumer law. This legal guarantee is separate from, and not limited by, any commercial warranty or manufacturer warranty.

If a product is defective or does not conform to the contract, the consumer may be entitled to remedies such as repair, replacement, price reduction or termination of the contract, in accordance with applicable law.

Some products may also benefit from a manufacturer warranty. Manufacturer warranty terms, if any, are provided by the relevant manufacturer and may vary by brand, product and country.

Business customers may have different warranty rights, deadlines and remedies according to applicable law and any specific written agreement.

12. Exercise of the Statutory Right of Withdrawal

Consumers who are entitled to exercise a statutory right of withdrawal may do so through the dedicated electronic function available on the ShopDecor website at the dedicated page Statutory Right of Withdrawal Form.

This form can be accessed across all pages of the website via the dedicated withdrawal button located at the bottom left of the screen, labelled “WITHDRAW FROM CONTRACT HERE”. The page is also linked in the footer under CONTACTS section.

To exercise the statutory right of withdrawal through the dedicated form, the consumer must provide the information needed to identify the order and the product(s) concerned by the withdrawal declaration. The consumer is not required to provide any reason.

After submitting the Statutory Right of Withdrawal Form, the consumer will receive an electronic confirmation of receipt at the email address provided in the form. The consumer is responsible for entering a correct email address.

Where permitted by applicable law, the consumer may also exercise the right of withdrawal by sending any other clear statement expressing the decision to withdraw from the contract. If the consumer uses the Order Complaints & Support Form for this purpose, ShopDecor may treat the communication as an exercise of the right of withdrawal where the consumer’s intention is clear.

13. Returns, Refunds and Store Credit

Return instructions, refund timing, return costs and the consequences of exercising the right of withdrawal are described in the Returns, Withdrawal, Complaints & Warranty Policy.

Refunds are generally issued using the same payment method used for the original purchase, unless a different method is agreed with the customer and permitted by applicable law.

Store credit or credit balance may be offered or agreed in some cases, but it is not mandatory for consumers where a refund is due.

14. Order Complaints & Support Form

The Order Complaints & Support Form is intended for damaged products, defective or non-conforming products, missing, incomplete or incorrect products, delivery issues, warranty and other order-related complaints or post-purchase support requests. If products exhibit any such issues, customers should contact ShopDecor as soon as reasonably possible using this form or via the customer support channels available on the website.

Customers are encouraged to use the appropriate form for the nature of their needs, as using the correct form helps ShopDecor identify the matter and process it more efficiently. For instance, if a consumer uses the Order Complaints & Support Form to submit a clear statement expressing the decision to withdraw from the contract, ShopDecor may treat the communication as an exercise of the statutory right of withdrawal where the consumer’s intention is clear.

Additionally, while customers are encouraged to note a written inspection reservation with the carrier if external packaging arrives damaged or irregular, failure to make a carrier reservation does not affect a consumer's mandatory rights regarding damaged, defective, missing, incorrect, or non-conforming products processed through this support channel.

15. Limitation of Liability

Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted by applicable law, including liability for fraud, wilful misconduct, gross negligence, death or personal injury where applicable.

To the extent permitted by applicable law, ShopDecor is not liable for indirect, incidental, consequential or purely economic losses, loss of profit, loss of business opportunity or loss resulting from events beyond its reasonable control. This limitation does not affect mandatory consumer rights.
ShopDecor is not responsible for delay or failure to perform obligations caused by events beyond its reasonable control, including supplier delays, carrier disruptions, customs delays, strikes, natural events, war, sanctions, epidemics, technical failures, platform disruptions or legal restrictions. ShopDecor will take reasonable steps to inform affected customers and handle the order according to applicable law.

Products are intended for ordinary use according to their nature, manufacturer instructions and product information. Customers are responsible for checking suitability for special, professional, commercial, outdoor, technical or installation-specific uses before purchase.

16. Personal Data

Personal data is processed in accordance with the Privacy Policy. The Privacy Policy explains how ShopDecor processes data relating to orders, payments, delivery, customer support, withdrawal declarations, complaints, warranty matters, marketing, analytics and website use.

17. Changes to These Terms

ShopDecor may update these Terms from time to time. The version applicable to an order is the version made available to the customer at the time the order is placed. Changes do not affect orders already accepted, unless required by applicable law.

18. Governing Law and Jurisdiction

These Terms are governed by Italian law, without prejudice to any mandatory consumer protection rights that may apply under the law of the consumer’s country of habitual residence.

For consumers, any dispute shall be subject to the jurisdiction provided by applicable consumer protection rules.

For business customers, unless mandatory law provides otherwise, disputes shall be subject to the jurisdiction of the competent courts of Italy, and where validly agreed, the courts with jurisdiction over ShopDecor’s registered office.
